Preface
Changes are afoot! Kathryn and I have been going to therapy and it’s had a big and pretty great impact on our relationship. Professionally I need to make changes (and money), and the two big projects I have been working on will hopefully cause some big changes. And then there are the changes we’re making to KmikeyM.
The Board of Directors is a way to be more open with shareholder representatives and to get advice on non-public matters. While for public matters, the policy votes are a way for shareholders to express their immediate advice on a number of issues.
Part I: A Board of Directors
Who would be a great member of the Board of Directors?
I’m going to appoint two people to the board, one of whom will be Aaron Parecki, who is essentially the CTO of KmikeyM, and someone else. The biggest shareholder will appoint one person, and then the shareholders will elect two members.
And so let’s start with nominations:
The two main functions of the board will be to provide feedback and guidance on:
Private Deals. There are times when I must act privately and can't share decisions publicly. The board of directors produce counsel and advice in navigating private issues.
Long Term Vision. The board of directors will be required to meet quarterly to review and revise long term plans and ideas.
What I’m Hoping For
Ideally I’m looking for a board that understands and shares some my own values and the history of KmikeyM but also represents a diverse range of perspectives. KmikeyM has always challenged conventional thinking and I want the board to challenge me and help me consider points of view I might not even consider.
Ideally they should have some expertise in a “relevant area.” That doesn’t have to be business or stock trading, but I hope they have a point of view, and maybe some ideas for the future.
These first few appointments are key. There is a lot to figure out in how the board will operate, what information they will need, and how much I feel like I can trust them. The first members of the board will set the tone for how this part of my life functions.
Part II: Policy Votes
First, there is a new policy vote: Personal Investment Strategy.
The last few years I haven’t made enough to really think about investment, but with a few irons in the fires this could be a significant financial year for me. With that in mind I’d like to have a policy in place for how I build my portfolio.
